Please read these Terms and Conditions carefully before using Our Service.

1. Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions.

The following definitions shall have the same meaning regardless of whether they appear in singular or plural.

Definitions
  • Affiliate: An entity that controls, is controlled by, or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest, or other securities entitled to vote for the election of directors or other managing authority.
  • Country: Refers to India and the United States.
  • Company: Fx31 Labs Pvt. Ltd. (referred to as "We", "Us", or "Our" in this Agreement), headquartered at 205, Amrakunj Avis, Chandkheda, Ahmedabad, Gujarat 382424, India, and Fx31 Labs LLC, operating in the United States.
  • Device: Any device that can access the Service such as a computer, cellphone, or digital tablet.
  • Service: Refers to the Company's IT and software services, including but not limited to consulting, development, deployment, and maintenance of IT systems.
  • Terms and Conditions (or "Terms"): These Terms and Conditions form the entire agreement between You and the Company regarding the use of the Service.
  • Third-party Social Media Service: Any services or content provided by third parties that may be included or made available by the Service.
  • Website: Refers to Fx31 Labs Pvt. Ltd., accessible from https://fx31labs.com/.
  • You: The individual, company, or legal entity accessing or using the Service, including clients in the US, UAE, India, and Europe.

2. Acknowledgment

These Terms govern the use of the Company's Service and set out the rights and obligations of all users. Access to and use of the Service is conditioned on compliance with these Terms.

By accessing or using the Service, You agree to be bound by these Terms. You must be at least 18 years old to use the Service.

3. Links to Third-Party Websites

The Company is not responsible for third-party content, privacy policies, or services linked through its Service. Users are encouraged to review third-party terms and policies.

4. Termination

The Company reserves the right to terminate access immediately for any breach of these Terms. Upon termination, all rights to use the Service cease.

5. Limitation of Liability

  • For US Clients: Liability is limited to the amount paid for the Service or $100 if no payment has been made. The Company is not liable for indirect or consequential damages, including data loss or business interruption.
  • For UAE, Indian, and European Clients: Liability is limited to the amount paid for the Service. Consequential damages may only apply as per the local laws of the respective regions.
  • Some jurisdictions may not allow certain limitations, and in such cases, the Company's liability is limited to the greatest extent permitted by law.

6. Disclaimer of Warranties

The Service is provided "AS IS" without warranties of any kind. The Company does not guarantee uninterrupted, error-free services or accuracy of content. Exclusions in specific jurisdictions (e.g., Europe) apply where consumer rights prohibit such disclaimers.

7. Governing Law

  • For clients in the US, these Terms are governed by the laws of the state in which the Company operates, excluding conflicts of law.
  • For clients in India, these Terms are governed by the laws of India.
  • For clients in UAE, the laws of the UAE apply, subject to mandatory provisions of UAE consumer protection regulations.
  • For European clients, these Terms are governed by the laws of the respective countries where the services are provided.

8. Dispute Resolution

Disputes must first be addressed informally by contacting the Company.

  • For US clients, disputes may be resolved under applicable state laws.
  • For clients in UAE, India, or Europe, disputes are subject to the jurisdiction of the respective country's courts.

9. Special Provisions for Regions

  • US Compliance: Users represent they are not located in countries embargoed or restricted by the US government.
  • EU Consumer Rights: EU users benefit from mandatory local consumer laws.
  • UAE Regulations: The Company complies with UAE regulations, including data protection and consumer rights.
  • India: Local dispute resolution mechanisms under Indian law apply.

10. Severability and Waiver

If parts of these Terms are unenforceable, other provisions remain valid. Waiver of a breach does not constitute waiver of future breaches.

11. Changes to These Terms

The Company reserves the right to update these Terms with 30 days' notice for material changes. Continued use implies agreement to the updated Terms.
